Gibraltar

Company law in Gibraltar is governed by the Companies Ordinance which is based on UK company law and EU Directives. Gibraltar is a territory of the European Union by virtue of Article 227 of the Treaty of Rome which provides that the Treaty applies to those European territories whose external relations are the responsibility of a Member State.  However, Gibraltar is not bound by EU tariffs or taxation and this has permitted it to develop independently as a financial centre. 

Gibraltar has its own internal Government and Legislative Assembly, which passes its laws.  The Courts, taxation system, civil service and Customs are all controlled by Local Government while the United Kingdom takes care of security and foreign affairs.  Supervision of financial services and development of relevant legislation is the responsibility of the Financial Services Commission.

Registration of Companies in Gibraltar

The Registrar of Companies in Gibraltar is the Financial and Development Secretary who is an official if the Gibraltar Government.  Administration of the Companies Registry has since 1993 been delegated to a private company, Companies House (Gibraltar) Limited.
